Your Responsibilities
Contract Lifecycle Management
- Assist with preparation, review, tracking, and maintenance of contracts and agreements, including but not limited to vendor, client, and employment agreements, NDAs, and other corporate transaction documents ensuring accuracy and compliance with applicable corporate policies, governance, and laws.
- Use DocuSign to facilitate the execution of agreements, contracts, and other legal documents.
- Prepare reports and summaries of key contract terms and deadlines for internal stakeholders.
- Help manage, expand and improve our contract lifecycle management system and processes, ensuring templates, workflows, and all contracts are organized, filed and coded effectively.
- Manage and update contract resources, including playbooks, diligence checklists, and clause libraries.
- Assist with managing the Contract Team’s Legal Service Requests, including routing and responding in accordance with established SLAs.
Corporate Governance
- Assist with entity formations, dissolutions, internal restructurings, and intercompany transactions, including drafting and filing incorporation documents, registrations, amendments, and other filings.
- Prepare and file necessary documents for corporate governance, such as board resolutions, bylaws, meeting minutes, and shareholder communications.
- Prepare, process, and track state, local, and regulatory filings with Secretaries of State and Departments of Insurance.
- Maintain and organize corporate records, ensuring compliance with federal, state, and local regulations.
- Support mergers, acquisitions, and other corporate transactions as needed.
- Assist with all aspects of affiliate governance, including administration of the company's legal entity management database and coordinating annual filings and other requirements with registered agents and outside counsel.
- Assist with response to requests for information, including "know your customer" requests, due diligence, and internal stakeholder requests.
General Legal Support
- Support special projects and perform other duties as assigned.
Qualifications
- Bachelor's degree in a business-related field or paralegal studies.
- Paralegal Certificate from an ABA-accredited program preferred.
- A minimum of 5 years’ paralegal experience.
- Experience in an in-house legal environment strongly preferred.
- Experience supporting the full-life cycle of contract management, including preparation, approval, negotiation, execution, renewal, termination, preparing amendments, and generating contract status reports.
- Experience working with CLM platforms (such as Onit), entity management platforms (such as Diligent), electronic signature platforms (such as DocuSign), and CRMs (such as Salesforce) preferred.
- Familiarity with HIPAA compliance is a plus.
Professional Qualifications
- Proficiency in the use of Microsoft Word, Excel, PowerPoint, and Outlook, as well as a CLM platform.
- Ability to process highly confidential/sensitive data and maintain confidentiality and discretion.
- High level of professionalism and commitment to the highest ethical standards.
- Excellent verbal and written communications skills with the ability to identify key issues and contribute to strategic decisions.
- Must be detail-oriented, highly motivated, and exceptionally organized.
- Must have strong interpersonal skills, be comfortable working independently, and have the ability to build relationships with stakeholders, including teammates, business team members across the company, and outside vendors, consultants, and outside counsel.
- Ability to manage multiple projects and be adaptable to rapidly changing priorities
